Terms of Service

These terms are an agreement between [LEGAL ENTITY NAME] (“HogWired”, “we”) and the company that signs up for HogWired (“Customer”, “you”). The person who accepts them confirms they can bind that company. Our Privacy Policy explains how we handle personal information.

1. The service

HogWired is web software for fiber and field-service contractors: scheduling, dispatch, job documentation, time tracking, billing records, a client portal, and AI-assisted reading of documents. Features available to you depend on your plan. We may improve or change features; we will not materially reduce the core service during a paid term without notice.

2. Accounts and users

• Give accurate information and keep sign-in details secure. You are responsible for everything done under your users’ accounts.
• Your admins control who has access and what role they have. Remove access promptly when someone leaves.
• Tell us at support@hogwired.pro straight away if you suspect unauthorised access.

3. Free trial

New accounts get a 14-day trial of the Pro plan without a payment card. When it ends, the account moves to Starter-plan limits until you choose a paid plan. Nothing is deleted when a trial ends.

4. Plans, billing and renewal

• Paid plans are billed in advance, monthly or annually, through Stripe, and renew automatically until cancelled.
• Each plan includes a number of users. Additional users cost $15 per user per month, adjusted when users are added or removed.
• AI work-order scanning is included on Business (300 scans a month) and Enterprise (500 a month), and is a $10/month add-on with 100 scans on other plans. Scans beyond the allowance cost $0.25 each and are billed in arrears.
• Prices exclude taxes, which we add where required.
• We will give at least 30 days’ notice of a price change, effective at your next renewal.
• You can cancel at any time in the app or by emailing us; service continues to the end of the paid period. Fees already paid are not refunded, including for unused months of an annual plan, unless the law requires otherwise.
• If a payment fails we will tell you; after 14 days unpaid we may limit the account to read-only access.

5. Your data

• You own the data you put into HogWired. You grant us the rights we need to host and process it to provide the service.
• We process personal information in your account on your instructions, as described in the Privacy Policy, and use the service providers listed there.
• You can export your data at any time. After you close your account we delete it within 90 days unless you ask for an export first.
• You are responsible for having the right to upload the information you put in, including about your crews and your customers.

6. Crew location tracking

Location sharing is off until each crew member turns it on and agrees in the app. You are responsible for telling your workers how location data is used and for meeting any employee-monitoring notice or consent law that applies to you.

7. Text messages

When you text your customers through HogWired, you are the sender. You must have their consent, honour opt-outs, and follow the Telephone Consumer Protection Act and carrier rules. Messages include “Reply STOP to opt out.” Message and data rates may apply. We may cap volume and suspend messaging that looks like abuse.

8. 811 locates and site safety

HogWired records locate tickets and their status for your convenience. It is not a substitute for your legal duty to contact the one-call center, confirm locates are valid before digging, and follow safety law. Always verify ticket status with the one-call center.

9. AI-assisted features

Document scanning and bid drafting use AI and can be wrong. Review extracted addresses, footage, quantities, prices and dates before you rely on them, send a bid, or invoice.

10. Acceptable use

Do not:

• use HogWired to break the law, send spam, or harass anyone;
• try to access another company’s data, probe or overload the service, or get around plan limits;
• upload malware or content you have no right to share;
• resell the service or copy it to build a competing product.

We may suspend accounts that breach this section, with notice where practical.

11. Availability and support

We aim to keep HogWired available at all times but do not guarantee uninterrupted service. Support is by email at support@hogwired.pro.

12. Intellectual property

We own HogWired and its software. These terms give you a right to use it during your subscription; they do not transfer ownership. Suggestions you send us may be used without obligation.

13. Warranties

HogWired is provided “as is”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data. Each party’s total liability under these terms is limited to the fees you paid in the 12 months before the claim. These limits do not apply to your payment obligations, either party’s indemnity obligations, or liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify us against third-party claims arising from your data, your messages to your customers, your monitoring of your workers, or your breach of these terms. We will defend and indemnify you against third-party claims that the HogWired software infringes their intellectual property.

16. Ending the agreement

You can cancel at any time. We can end these terms with 30 days’ notice, or immediately for a serious breach. Sections that by their nature should survive (data, payment, liability, indemnity, governing law) do so.

17. Governing law

These terms are governed by the laws of the State of [GOVERNING STATE]. Disputes will be heard in the state or federal courts located in [COUNTY], [GOVERNING STATE].

18. Changes to these terms

We will post changes here and email account admins at least 30 days before material changes take effect. Continuing to use HogWired after that means you accept them.
